1. Introduction

4.1 Our Content

The Site and its entire content, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by Sunridge Canvas, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may access, view, download, and print content from the Site for your personal, non-commercial use only, provided that you do not modify or delete any copyright, trademark, or other proprietary notices.

4.2 Your Content

You retain ownership rights in any content you submit, post, or display on or through the Site ("Your Content"). By submitting, posting, or displaying Your Content on or through the Site, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display Your Content in connection with the Site and our business operations.

You represent and warrant that: (i) you own Your Content or have the right to use and authorize us to use Your Content as described in these Terms; and (ii) Your Content does not violate the privacy rights, publicity rights, intellectual property rights, or any other rights of any person or entity.

5. Prohibited Uses

You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to use the Site:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate Sunridge Canvas, a Sunridge Canvas employee, another user, or any other person or entity.
  • To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which may harm Sunridge Canvas or users of the Site, or expose them to liability.

Additionally, you agree not to:

  • Use the Site in any manner that could disable, overburden, damage, or impair the Site or interfere with any other party's use of the Site.
  • Use any robot, spider, or other automatic device, process, or means to access the Site for any purpose, including monitoring or copying any of the material on the Site.
  • Use any manual process to monitor or copy any of the material on the Site or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Site.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site.
  • Attack the Site via a denial-of-service attack or a distributed denial-of-service attack.

6. Photography Services

6.1 Service Booking

When you book photography services through our Site, you agree to provide accurate, current, and complete information about yourself and the event or session for which you are booking services. Bookings are subject to availability and confirmation by Sunridge Canvas.

6.2 Photography Services Agreement

All photography services are subject to a separate Photography Services Agreement, which will be provided to you upon confirmation of your booking. The Photography Services Agreement contains important terms regarding the scope of services, deliverables, copyright ownership, usage rights, and other matters specific to the photography services.

6.3 Cancellation and Rescheduling

Cancellation and rescheduling of photography services are subject to the terms outlined in the Photography Services Agreement and our Refund Policy. Please refer to our Refund Policy for more information on cancellations, refunds, and rescheduling.

7. Payment Terms

By providing a credit card or other payment method accepted by us, you represent and warrant that you are authorized to use the designated payment method and you authorize us to charge your payment method for the total amount of your purchase (including any applicable taxes and fees).

If your payment cannot be completed, we will notify you and may require you to provide additional information or use a different payment method. We are not responsible for any additional charges or fees that may be imposed by your financial institution or payment provider.

All prices displayed on the Site are in Singapore Dollars (SGD) unless otherwise specified. Prices are subject to change without notice. We reserve the right to correct any errors or omissions in pricing information displayed on the Site.

8. Third-Party Links

The Site may contain links to third-party websites or resources that are not owned or controlled by Sunridge Canvas. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or resources.

You acknowledge and agree that Sunridge Canvas shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or resources.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sunridge Canvas and its affiliates, officers, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Site;
  • Any conduct or content of any third party on the Site;
  • Any content obtained from the Site; and
  • Unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

In no event shall our total liability to you for all claims exceed the amount paid by you to Sunridge Canvas for services provided through the Site during the 12 months preceding the event giving rise to the liability, or SGD 500, whichever is greater.

10. Indemnification

You agree to defend, indemnify, and hold harmless Sunridge Canvas, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including, but not limited to, your User Contributions, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within Singapore for the resolution of any disputes arising out of or relating to these Terms or your use of the Site.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. The most current version of these Terms will be posted on the Site with the "Last Updated" date. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

13. Termination

We may terminate or suspend your access to all or part of the Site, without notice or liability, for any reason, including without limitation, breach of these Terms. Upon termination, your right to use the Site will immediately cease.

All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published by Sunridge Canvas on the Site, constitute the entire agreement between you and Sunridge Canvas concerning the Site and supersede all prior agreements and understandings, whether written or oral, regarding the Site.
